These General Terms and Conditions (GTC) apply to all products, services, digital services, informational offers, artificial intelligence services, consulting services, automation systems, software tools, and other solutions provided by DHTECO d.o.o., Sokolska 46, 2000 Maribor, Slovenia (hereinafter: “DHTECO”), including but not limited to services offered on the website dhteco.com, through digital platforms, software interfaces, APIs, automation systems, AI agents, consulting services, or other forms of delivery.
These GTC also apply to all invoices, offers, and contractual relationships issued by DHTECO.
Deviating provisions of the user or buyer do not apply unless DHTECO has explicitly confirmed them in writing.
2.1. The contents of the website dhteco.com and any related digital services are provided for informational purposes only and do not constitute a binding offer.
2.2. DHTECO reserves the right to modify, suspend, update, or remove content, digital tools, AI systems, or services at any time without prior notice.
2.3. The use of digital tools, automation systems, AI agents, or software services provided by DHTECO is at the user’s own risk.
3.1. Our offers are non-binding; interim sales and economically justified price increases are reserved. Documents belonging to the offer, such as illustrations, weights, and other dimensions, are only approximately authoritative unless explicitly designated by DHTECO as binding. DHTECO reserves the right to make changes.
3.2. Unless otherwise stated in the offer or cost estimate, the offer or cost estimate is valid for 30 days. DHTECO is not bound by obvious errors, spelling mistakes, and calculation errors. This particularly applies to errors in the service description of offers. All offer and project documents may not be duplicated or made accessible to third parties without DHTECO’s consent. They can be revoked at any time.
3.3. Subsequent changes and additions to this contract require written confirmation to be effective.
3.4. All orders and agreements, particularly those mediated by our representatives or other agents, only become effective upon our written confirmation. The entire content of our order confirmation is considered accepted if the buyer does not object to us within three days of receipt of the confirmation. The postal route is not included. Any change in the cost situation, especially raw materials, wages, etc., entitles us to adjust the prices without prior notice to the buyer.
The buyer’s purchasing conditions are hereby contradicted. They do not obligate DHTECO unless explicitly confirmed in writing.
5.1. Unless expressly agreed otherwise, our prices are ex-works or warehouse and exclude packaging. Shipping of the goods is always at the buyer’s expense and risk. Unless the buyer explicitly requests a specific shipping method, DHTECO will choose the shipping method.
5.2. Delivery times and dates stated in offers, order confirmations, contracts, and communications are generally non-binding and without guarantee.
5.3. If DHTECO has expressly committed in writing to specific delivery periods and dates based on a special agreement, the following applies:
Minor delivery delays, defined as delays of no more than 7 days, do not entitle the buyer to withdraw from the contract or claim damages.
Claims for damages due to delayed delivery based on slight negligence are excluded.
Claims for damages due to gross negligence are limited to a maximum of 10% of the order value.
5.4. Delivery delays due to force majeure (including natural disasters, strikes, sabotage, traffic disruptions, war, civil war, riots, revolutions or similar events) do not entitle the buyer to any claims against DHTECO.
6.1. The buyer is obliged to inspect the goods immediately upon receipt. Any defects must be reported immediately, but no later than 5 working days after delivery, by email.
6.2. The prerequisite for the warranty is proper use, handling, sufficient protection against environmental influences, and regular inspection of the device or product.
6.3. After a complaint, the buyer must cooperate in clarifying the cause of the defect and allow inspection by DHTECO or its authorized representatives.
6.4. Replacing or repairing product parts does not extend the original warranty period.
6.5. All other warranty claims, including claims for direct or indirect damages, third-party damages, or consequential damages, are excluded. Warranty for lost profits is not provided.
6.6. The warranty excludes defects caused by improper installation, incorrect handling, unsuitable operating materials, external influences, overvoltage, atmospheric discharge, chemical effects, or unauthorized modifications.
6.7. The warranty expires immediately if the buyer or a third party modifies or repairs the delivered items without written consent from DHTECO.
6.8. Claims for damages due to slight negligence are excluded. Claims due to gross negligence are limited to the invoice value of the goods or services. Claims for consequential damages and lost profits are excluded.
6.9. DHTECO devices come with a 10-year warranty from the date of delivery. The warranty covers only the material and manufacturing quality of the device. The function of the devices is based on the physical alteration of the lime scale structure in water, whereby typical hard deposits are transformed into a less adhesive crystalline form. While the use of the devices generally results in a significant reduction of lime scale adhesion, complete prevention of deposits cannot be guaranteed, as the effect depends on various water and system conditions.
7.1. Unless otherwise agreed, all prices are in euros and apply ex works or warehouse (EXWORKS according to INCOTERMS 2020) and exclude transport and packaging costs. VAT is shown separately.
7.2. If no payment terms are agreed, payments are made in advance. Delivery occurs after receipt of payment.
7.3. In case of payment default or uncertainty regarding the buyer’s financial situation, DHTECO reserves the right to demand advance payment or securities and may suspend deliveries.
7.4. The buyer is not entitled to withhold payments or set them off against warranty claims or other counterclaims unless legally established.
8.1. Risk transfers to the buyer when the goods are ready for shipment at the agreed delivery location (EXWORKS according to INCOTERMS 2020).
8.2. If shipping or delivery is delayed at the buyer’s request, the risk transfers to the buyer at the time the goods are ready for shipment.
9.1. Delivered goods remain the property of DHTECO until full payment has been received.
9.2. In the event of resale of goods, the buyer assigns to DHTECO all claims arising from resale to third parties.
Commercial practices established by the Austrian Chamber of Commerce apply unless they contradict these GTC.
Changes to these GTC require written agreement. If any provision becomes invalid, the validity of the remaining provisions remains unaffected.
Place of performance: Maribor, Slovenia.
Jurisdiction: competent court in Maribor.
Applicable law: Slovenian law.
These GTC apply to all offers, invoices, contracts, digital services, consulting services, automation systems, software tools, and AI services provided by DHTECO.
By placing an order or paying an invoice, the customer acknowledges and accepts these GTC.
Returns of goods after payment are excluded except where statutory rights apply.
The following provisions apply to all artificial intelligence services, automation systems, analytics tools, AI agents, and digital solutions provided by DHTECO.
Artificial intelligence systems operate using probabilistic algorithms and may generate inaccurate, incomplete, or outdated outputs.
AI systems may produce fabricated or misleading information (“AI hallucinations” or “confabulations”).
AI outputs are provided for informational and operational support purposes only.
AI-generated outputs do not constitute legal, financial, technical, engineering, medical, or business advice unless explicitly agreed in writing.
The user is solely responsible for verifying and validating all AI-generated outputs before relying on them.
All decisions and actions based on AI outputs remain the sole responsibility of the user.
DHTECO is not liable for damages resulting from incorrect AI outputs, automation errors, incorrect predictions, incomplete analysis, or interpretation errors.
AI services may rely on third-party providers or external data sources. DHTECO is not responsible for errors or interruptions originating from such systems.
Automated workflows and integrations may fail or behave unpredictably. DHTECO does not guarantee uninterrupted or error-free operation.
AI output accuracy depends on input data quality. DHTECO assumes no responsibility for incorrect outputs caused by inaccurate or incomplete data.
Users guarantee that any data provided to DHTECO is legally obtained and complies with applicable data protection laws.
Digital services may involve automated data processing through cloud infrastructure or third-party AI systems.
DHTECO does not guarantee specific business results, operational improvements, cost savings, or performance outcomes.
Operational, financial, or strategic decisions based on AI outputs are made entirely at the user’s own risk.
Continuous availability of AI systems or automation tools is not guaranteed.
To the maximum extent permitted by law, DHTECO shall not be liable for indirect damages, loss of profits, loss of data, operational interruptions, reputational damages, or business losses resulting from AI systems.
If liability cannot be excluded by law, the maximum liability of DHTECO is limited to the amount paid by the customer for the specific service giving rise to the claim.
The customer remains fully responsible for all final decisions and actions made based on AI-generated outputs.
All AI-generated outputs must be reviewed and validated by a qualified human before being used for operational, financial, legal, technical, or safety-critical decisions.
AI systems, machine learning models, and automation tools may evolve or change over time due to updates, retraining, infrastructure changes, or modifications of underlying technologies. Outputs and system behavior may therefore differ from previous results. DHTECO does not guarantee consistency of outputs over time.
These General Terms and Conditions are valid from July 7, 2025.
